Terms of Use
Computer Programs and Systems, Inc. ("CPSI") owns and operates this patient
portal (the "Patient Portal"). The Patient Portal is made available to
Eligible Portal Users, as defined herein, under the following terms and
conditions (the "Terms of Use").
Patient Portal: This Patient Portal is an Internet service offered
by CPSI to patients of participating healthcare providers who have licensed
the Patient Portal from CPSI (each a "Participating Provider" and collectively
the "Participating Providers"). The Patient Portal provides a means by
which patients may securely access select portions of their medical record
and communicate with a Participating Provider. Each Participating Provider
will provide the credentials needed to access information maintained by
that specific Participating Provider. Credentials provided by one Participating
Provider will not provide access to information maintained by any other
Participating Provider.
The Patient Portal is the intellectual property of CPSI and no part of
the Patient Portal may be reproduced without first obtaining CPSI's written
permission. The information and services provided on or through Patient
Portal may be updated or removed at any time without notice.
Eligible Portal Users: An Eligible Portal User shall be defined as
a user that i) agrees to these Terms of Use without modification; ii) is
18 years of age or older; iii) has a current email address; and iv) has
received Patient Portal access credentials from a Participating Provider.
By using the Patient Portal, you represent and warrant that you are an
Eligible Portal User. Subject to these Terms of Use, CPSI hereby grants
to Eligible Portal Users a non-exclusive, non-transferable, royalty-free
right to access and use the Patient Portal.
Use of the Patient Portal: Use of the Patient Portal by an Eligible Portal
User is contingent upon the user's agreement to i) use the Patient Portal
solely as permitted by these Terms of Use; ii) use the Patient Portal only
to communicate on behalf of yourself or someone else for whom you are legally
authorized; iii) only enter information that is accurate to the greatest
extent of your knowledge; iv) not impersonate or attempt to impersonate
someone else; v) not use the Patient Portal to defame, abuse, harass, stalk,
threaten, damage the reputation of or otherwise infringe on the legal rights
of others; vi) not use the Patient Portal in any way that would infringe
on the intellectual property rights of CPSI or any third party; vii) not
use the Patient Portal in any way that would violate the privacy of any
third party; viii) not use the Patient Portal to disseminate any information
that, in CPSI's sole discretion, is inappropriate, profane, defamatory,
infringing, obscene, offensive, indecent, or illegal; ix) not intentionally
post inaccurate, false or misleading information; x) not use the Patient
Portal in any way that is unlawful; xi) not use the Patient Portal in any
way that would adversely affect the availability or efficiency of the Patient
Portal or interfere with any other Eligible Portal User's ability to access
and use the Patient Portal; xii) not attempt to defeat or evade any security
or access control of the Patient Portal; xiii) protect the security of
and not share with any third party any user name, login and password information
used to access the Patient Portal; and xiv) not to allow any third party
acting on your behalf to act in any manner not allowed by these Terms of
Use.
Assumption of Risk: By using the Patient Portal, you are assuming certain
risks that include (but are not limited to i) your personal health information
may be disclosed to unauthorized individuals if your password is stolen,
you share your password or you leave a computer logged into your account
unattended; ii) your personal health information may be disclosed to unauthorized
individuals subsequent to transmission via electronic mail; and iii) information
available through the Patient Portal may be incomplete, inaccurate, corrupted,
delayed or otherwise not delivered.
No Medical Advice: The Patient Portal is not intended to provide medical
or professional advice of any kind. Information and services available
on the Patient Portal should not be used as a substitute for advice provided
by your personal physician.
The Patient Portal is not intended to address urgent or emergency medical
needs. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CONTACT 911. DO NOT
USE THE PATIENT PORTAL TO SEND ANY MESSAGES OR REQUESTS THAT REQUIRE IMMEDIATE
OR URGENT ATTENTION.
Termination of Access and Use: CPSI may, in its sole discretion, terminate
the right to access and use the Patient Portal of any Eligible Portal User
that has violated these Terms and Conditions. A Participating Provider
may, in its sole discretion, revoke access to the Patient Portal at any
time. (Note: A Participating Partner is legally required to provide you
with access to your personal health information, even if your access to
the Patient Portal is revoked or the Patient Portal is unavailable.) You
may discontinue use of the Patient Portal at any time by contacting the
appropriate Participating Provider(s).
No License: Nothing in these Terms of Use is intended to grant any
license or any other rights to the Patient Portal, except as expressly
set forth herein, or transfer any rights, title or interests in or to any
intellectual property of CPSI.
Third Party Links: The Patient Portal may include links to other third
party sites to provide access to additional information; however these
Terms of Use do not apply to any third party sites that may be linked to
the Patient Portal. CPSI is not responsible or liable for the content or
use of the linked sites. CPSI recommends that you review the terms of use
of any third party site you may visit via a link on the Patient Portal.
Security: CPSI employs appropriate security measures to protect against
unauthorized access. Such security measures include reasonable and appropriate
technical, physical and administrative controls. While CPSI takes steps
to mitigate security risks, it must be understood that there are security
risks inherent to use of the Internet that are outside of CPSI's ability
to control and CPSI cannot guarantee absolute safety from intrusion. Individuals
who use the Patient Portal should do their part to protect their personal
information by safeguarding passwords and logging off completely when finished
using Patient Portal accounts.

WITHOUT WARRANTY OF ANY KIND. CPSI MAKES NO REPRESENTATIONS AS TO THE SUITABILITY,
RELIABILITY, AVAILABILITY, TIMELINESS AND ACCURACY OF INFORMATION AND SERVICES
PROVIDED ON OR THROUGH CPSI'S WEBSITE. CPSI HEREBY DISCLAIMS ALL WARRANTIES
WITH REGARD TO THE PATIENT PORTAL, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE
AND NON-INFRINGEMENT. CPSI DOES NOT WARRANT THAT THIS SITE, ITS SERVERS
OR EMAIL SENT VIA THE PATIENT PORTAL WILL BE FREE OF VIRUSES OR ANY OTHER
HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CPSI, ITS OFFICERS,
DIRECTORS, EMPLOYEES AND AGENTS, BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE,
INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OR ANY OTHER DAMAGES WHATSOEVER
RESULTING FROM OR IN ANY WAY CONNECTED TO THE USE, PERFORMANCE OR AVAILABILITY
OF THE PATIENT PORTAL, EVEN IF CPSI HAS BEEN NOTIFIED OF THE POSSIBILITY
OR LIKELIHOOD OF SUCH DAMAGES OCCURRING, AND WHETHER SUCH LIABILITY IS
BASED ON CONTRACT, TORT, NEGLIGENC, STRICT LIABILITY, PRODUCTS LIABILITY
OR OTHERWISE.
YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE PATIENT PORTAL IS AT YOUR
SOLE RISK AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY INJURY YOU MAY SUFFER
RELATED TO OR ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE PATIENT
PORTAL OR ANY DISSATISFACTION YOU MAY HAVE WITH THESE TERMS AND CONDITIONS
IS TO DISCONTINUE USING THE PATIENT PORTAL.
Indemnification: By using the Patient Portal, you agree to indemnify,
defend and hold harmless CPSI, its officers, directors, employees and agents,
from and against all claims liabilities, losses, expenses, damages and
costs resulting from your use of the Patient Portal or any violation of
these Terms of Use.
Terms of Use Changes: These Terms of Use may be revised by CPSI from
time to time. When any revisions are made, the revised Terms of Use will
be posted to the Patient Portal and will be effective as of the date of
the last update provided at the bottom of the web page. As these Terms
of Use can be updated at any time, CPSI recommends that you review this
web page regularly.
Acceptance of the Terms of Use: Use of the Patient Portal signifies your
acknowledgement and acceptance of these Terms of Use. If you do not agree
to the terms of these Terms of Use, please do not use the Patient Portal.
General: If any portion of these Terms of Use is ruled by a court of
competent jurisdiction to be contrary to applicable law, the affected provision(s)
shall be changed so as to be valid, enforceable and interpreted to most
closely match the objectives of the origin provision(s).
No failure or delay by CPSI in exercising any right, power or remedy under
these Terms of User shall be construed as a waiver of any such right, power
or remedy.
These Terms of Use may not be modified, amended or waived except as may
be adopted by CPSI in writing.
